Gruner + Jahr Goes to Greece, Acquires 50-Percent Stake in Magazine Publisher Daphne

Gruner + Jahr is branching out into yet another European growth market. By acquiring a 50-percent stake in Daphne Communications S.A., one of Greece´s leading magazine publishers, G+J has become the first foreign publisher to buy a share of this magnitude in a Greek publishing company. The remaining 50 percent of Daphne´s shares are owned by the Antenna Group, Greece´s largest commercial-TV corporation. Daphne Communications was established in 1995 and currently publishes eleven magazines, including the women´s titles DIVA and ASTROLOGOS, the "living" publication IKIA/DIAKOSMISI and the parenting magazine PAIDI/NEI GONIS. The Athens-based publisher has 230 employees.

Management Changeover at NEWS: Oliver Voigt to Succeed Rudi Klausnitzer

Hamburg, 20 November 2005
Rudi Klausnitzer, 57, has decided not to renew his contract with the Austrian NEWS publishing group, which is expiring soon, for personal reasons. He will instead take a seat on the publishing group´s advisory board. Oliver Voigt, 39, currently Managing Director of G+J Poland, will succeed him as CEO, having been unanimously appointed by the NEWS shareholders. Rudi Klausnitzer will continue to serve the publishing group in a consulting capacity and will also act as advisor to the G+J Executive Board.

G+J International: Pierre Riandet to Enhance Management Team Headed by Dr. Torsten-Jörn Klein

G+J´s International Magazines division is finalizing its management team. Pierre Riandet, 39, has been appointed Executive Vice President International Magazines divison, effective Nov 1, 2005. He reports directly to Dr. Torsten-Jörn Klein, G+J Executive Director of the International Magazines division. Riandet will supervise the Existing Markets and Controlling units, as successor to Rolf Heinz, who has served as Managing Director of G+J/Mondadori in Milan since the beginning of September.

G+J Poland: YOUNG MISS to Strengthen Publisher´s Position in Women´s Magazines

Gruner + Jahr is testing a line extension of Poland´s leading monthly women´s magazine CLAUDIA. YOUNG MISS, a new magazine concept for young women, is the sixth spin-off of CLAUDIA magazine. Published in a maxi-pocket format, it caters to women between the ages of 17 and 25 with a heavily information-focused concept in a contemporary colorful look. G+J Poland hopes that YOUNG MISS will enhance its leading position in the women´s magazine market. Just this June, the Polish subsidiary of Europe´s largest magazine publisher had launched the psychologically inspired women´s magazine FENIKS. YOUNG MISS will be published in an initial print run of 130,000 copies with a cover price of about 1 euro.

G+J/Mondadori: Rolf Heinz Named New CEO In Italy

G+J/Mondadori has a new CEO. On Sep 1, Rolf Heinz will succeed Stefano de Alessandri (45), who is leaving to serve as CEO of Hachette Rusconi, an Italian magazine publisher. Rolf Heinz (39) was unanimously elected to his new position by both shareholders. After studying political sciences and business, Heinz initially worked for the Bauer, Jahreszeiten and Deutsche Supplement imprints. In 2000, he joined G+J´s International Magazine Division, where as of 2002 he served as the unit´s Director for G+J Executive Board member Axel Ganz in Paris. In February 2004, Rolf Heinz moved to Hamburg, having been named Executive Vice President,International Magazine Division, which was newly organized under G+JExecutive Board member Dr. Torsten-Jörn Klein in early 2004. Here, hisresponsibilities included Business Development Existing Markets, StrategicProjects and Controlling.

Gruner + Jahr And Styria Media Set Up New JV In Croatia

Hamburg, 12 July 2005
Gruner + Jahr and the Austrian media group Styria Medien AG plan to set up a joint venture for the Croatian magazine market via their respective subsidiaries. It would focus primarily on G+J´s internationally popular magazine brands. The new company would be a 50:50 joint venture between the partners and have its headquarters in Zagreb. The merger is pending clearance by the EU antitrust authorities. Styria Medien AG publications include the daily "Die Presse," numerous regional weekly papers and Croatia´s largest daily paper, "Vecernji List." The company operates subsidiaries in Croatia and Slovenia.

G+J USA Publishing Company Sells INC and FAST COMPANY to Joseph Mansueto

The G+J USA Publishing Company today concluded an agreement to sell the business titles INC and FAST COMPANY to Joseph Mansueto, who will publish them through a new entity formed for this purpose. The deal is expected to close by the end of the month subject to clearance by the U.S. antitrust authorities.

Axel Ganz Forms New Company with Gruner + Jahr

After 27 years of serving Gruner + Jahr, 15 of them as Executive Board member in charge of international magazine operations, Axel Ganz (67) will set up a new company with G+J in Paris, devoted to developing new magazines for the French market.Ganz will be leaving the G+J Executive Board when his contract expires at the end of 2005. He will be handing over the management of G+J´s French subsidiary Prisma Presse to Fabrice Boé; (43), who joined Prisma Presse in March 2004 as Executive Publisher, Women´s Magazines, effective July 1.

Gruner + Jahr To Spin Off U.S. Magazine Business

Gruner + Jahr has reached an agreement in principle with Meredith Corporation to sell Family Circle, Parents, Child and Fitness magazines for $350 million in a transaction scheduled to close June 30, 2005. The closing of the transaction remains subject to negotiation of a definitive agreement as well as approval by the U.S. regulatory authorities and other conditions. As part of the transaction, G+J will have an option until June 30 to sell Inc. and Fast Company to Meredith.

European Commission Clears Gravure Printing Joint Venture

Bertelsmann, Arvato, Gruner + Jahr and Axel Springer AG welcome today´s decision by the European Commission to clear the planned gravure printing joint venture. The companies involved are establishing their joint venture to lastingly safeguard and enhance their activities in the highly competitive European illustration printing market. This market includes the printing of catalogues, magazines and advertising brochures on rotogravure and heat-set web offset presses. This positive decision follows extensive consultation with all parties involved and a full investigation into the antitrust repercussions of the deal. Stephan Krauss (43) will head the management of the new gravure company as its Chief Executive Officer (CEO). Krauss is currently a member of the Arvato AG board and Chairman of the Management Board of the Maul-Belser Media Group, Nuremberg. Krauss, a graduate in engineering, began his career at Bertelsmann in 1988 as assistant to Gunter Thielen, at the time CEO of Bertelsmann´s Printing and Industrial Services division. After holding executive positions at various printing companies in the group, he was appointed to the Maul-Belser management board in 1996, and a year later became its chairman. Krauss has been a member of the Arvato AG board since September 2002. In this capacity, he coordinates Arvato´s gravure activities in Europe while also bearing the overall responsibility for the division´s printing operations in Germany. On September 1st 2004, the Bertelsmann divisions Arvato and Gruner + Jahr had signed a Letter of Intent with Axel Springer AG, governing the merger of their printing operations in Ahrensburg, Darmstadt, Dresden, Itzehoe, and Nuremberg. The inclusion of Arvato´s printing facility currently under construction in Liverpool was also agreed. The companies had submitted the proposal for a joint venture to the European Commission in Brussels for merger review on November 4, 2004.

Gruner + Jahr Pressehaus Hosts German Premiere of World Press Photo Award 2005

Each year for 50 years now, the World Press Photo Foundation´s international panel of judges has picked the best and most memorable press photographs of the previous year. This year, the World Press Photo exhibition again shows moving and haunting images: of the aftermath of the Tsunami disaster in Southeast Asia, the hostage-taking in Beslan, and of political unrest in Port-au-Prince, Haiti. But there are also pictures that tell of major sports events like the Olympics in Athens, along with photography highlights from art, culture, nature and science.

EU Antitrust Authorities Approve Gruner + Jahr´s Majority Acquisition of Motor-Presse Stuttgart

Last Friday, April 8th, 2005, the EU Antitrust Commission granted its approval of Gruner + Jahr´s acquisition of the majority of shares in Motor-Presse Stuttgart. There were no conditions attached to the approval. Thus, all antitrust barriers to the acquisition of the Vereinigte Motor-Verlage (VMV) Stuttgart shares held by the Würzburg-based Vogel media group (45.7 percent) have now been eliminated. G+J previously owned a 17.1 percent stake in VMV, which will be merged with Motor-Presse-Verlag into the future Motor-Presse Stuttgart (MPS) in a parallel move. G+J now holds 54.9 percent in this company.

Gruner + Jahr Invests $55m in Brown Printing subsidiary / Clear commitment to American Printing business

Gruner + Jahr is investing in the futureof its American print subsidiary Brown Printing (BPC): As part of aninvestment project, it plans to install two state-of-the-art offsetrotary presses at its production plant in Waseca, Minnesota.The print finishing capacities, too, will be expanded by two modernadhesive binder lines, a flowline trimmer and an automaticallyequipped high-rack warehouse with automated guided vehicles.The total investment volume for this project exceeds $55 million.
